ACIDNI, LLC - TERMS OF SERVICE AGREEMENT
1. ACCEPTANCE OF TERMS

By accessing or using the services provided by Acidni, LLC ("Company," "we," "us," or "our"), including but not limited to the Terprint web application (collectively, the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THIS SERVICE.

Your continued use of the Service constitutes your acceptance of these Terms and any future modifications. We reserve the right to modify these Terms at any time without prior notice. Your continued use after any such modifications constitutes acceptance of the new Terms.

2. DESCRIPTION OF SERVICE

The Service provides informational data about cannabis products, including but not limited to terpene profiles, cannabinoid content, batch information, and user-submitted ratings and reviews. The Service is provided for informational and educational purposes only.

3. USER ELIGIBILITY

You represent and warrant that:

  • You are at least 21 years of age or the legal age in your jurisdiction to access cannabis-related information;
  • You are accessing this Service from a jurisdiction where access to such information is legal;
  • You will comply with all applicable local, state, federal, and international laws and regulations.
4. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR DATA.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free;
  • The results obtained from use of the Service will be accurate or reliable;
  • Any errors in the Service will be corrected;
  • The data provided is current, complete, or accurate.
5. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

ACIDNI, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY:

  • DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES;
  • DAMAGES RESULTING FROM YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE;
  • DAMAGES RESULTING FROM ANY CONTENT OR DATA OBTAINED FROM THE SERVICE;
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA;
  • DAMAGES RESULTING FROM ANY THIRD-PARTY CONDUCT OR CONTENT ON THE SERVICE;
  • ANY PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE SERVICE OR ANY PRODUCTS OR SERVICES IDENTIFIED THROUGH THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100.00), WHICHEVER IS LESS.

6. MEDICAL AND HEALTH DISCLAIMER

THE SERVICE DOES NOT PROVIDE MEDICAL ADVICE.

All information provided through the Service is for general informational purposes only and is not intended to be, nor should it be construed as:

  • Medical advice or diagnosis;
  • Treatment recommendations;
  • A substitute for professional medical judgment, diagnosis, or treatment;
  • Endorsement or recommendation of any particular product, strain, or dosage.

Always seek the advice of a qualified healthcare provider with any questions regarding a medical condition. Never disregard professional medical advice or delay seeking it because of something you have read or accessed through this Service.

7. NO ENDORSEMENT

The inclusion of any products, strains, batches, growers, or dispensaries in the Service does not constitute an endorsement, recommendation, or approval by Acidni, LLC. We make no representations or warranties regarding the quality, safety, legality, or efficacy of any products or services described in the Service.

8. DATA ACCURACY

While we strive to provide accurate information, we make no guarantees regarding the accuracy, completeness, or currentness of any data displayed in the Service, including but not limited to:

  • Terpene profiles and percentages;
  • Cannabinoid content and ratios;
  • Certificate of Analysis (COA) data;
  • User-submitted ratings and reviews;
  • Batch information and availability.

Data may be sourced from third parties, user submissions, or publicly available information. You are solely responsible for verifying any information before making decisions based on it.

9. USER CONDUCT AND CONTENT

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws;
  • Submit false, misleading, or inaccurate information;
  • Attempt to gain unauthorized access to any portion of the Service;
  • Interfere with or disrupt the Service or servers;
  • Use automated means to access or collect data from the Service;
  • Impersonate any person or entity;
  • Use the Service to harass, abuse, or harm others.

Any content you submit remains your responsibility. By submitting content, you grant Acidni, LLC a non-exclusive, royalty-free, perpetual, irrevocable license to use, modify, and display such content.

10. INTELLECTUAL PROPERTY

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, and software, are the exclusive property of Acidni, LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Acidni, LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use of and access to the Service;
  • Your violation of any term of these Terms;
  • Your violation of any third-party right, including any intellectual property or privacy right;
  • Any content you submit to the Service;
  • Any claim that your content caused damage to a third party.
12. PRIVACY

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

13. TERMINATION

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

14. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction in such courts.

15. ARBITRATION AGREEMENT

BY USING THIS SERVICE, YOU AGREE THAT ANY DISPUTE OR CLAIM RELATING TO THESE TERMS OR THE SERVICE WILL BE RESOLVED BY BINDING ARBITRATION, rather than in court, except that you may assert claims in small claims court if your claims qualify. The arbitration shall be conducted under the rules of the American Arbitration Association.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

16. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Acidni, LLC regarding the Service and supersede all prior agreements and understandings.
